Background information

What is the news?

Philips has acquired Sectra’s mammography modality business operations.

Sectra and Philips have also agreed that Sectra, as a distributor of Philips, will continue to sell and service Sectra MicroDose in Australia and New Zealand.

What exactly is and is not included in the agreement?

The legal entity Sectra Mamea AB, which includes facilities for production, R & D and marketing in Solna, intellectual property and all personnel employed at Sectra Mamea AB. The deal also includes the Sectra MicroDose sales and service staff in Benelux, Germany, Norway, Spain, Sweden, the UK and the US.In Australia and New Zealand, in addition to its own medical imaging IT business, Sectra will continue to sell and service the MicroDose modality under a distribution agreement with Philips. The deal does not include other Sectra mammography or women’s health solutions, such as mammography PACS and RIS or Sectra’s service for osteoporosis assessment.

Why have Sectra and Philips come to this agreement?

This deal has great advantages for both all parties. It is a win-win-win deal:

  • Sectra will free up resources and funds that can be used to continue to develop and further expand its major operation in medical imaging IT, where Sectra is already today a major player.
  • Philips will in accordance with its strategy to expand its Woman Healthcare portfolio, strengthen its business with a truly innovative product and a very skilled team of employees.
  • MicroDose customers and the MicroDose modality business will benefit from the resources, knowledge and vast distribution and service network that Philips, as one of the largest healthcare modality providers in the world, can add to the further development of the MicroDose modality offering.
  • The Sectra MicroDose technology will now save even more women lives, since it will be much faster spread around the globe through Philips’ vast distribution network.

What date was the formal take over?

The deal was fully closed August 31.

What happens now?

Sectra will expand its large world-leading business in medical imaging IT, mammography PACS and RIS included, as well as developing and commercializing new innovations in the way we have successfully done with the MicroDose technology. The transaction enables Sectra to also look toward acquisitions in key markets.

How will this affect me as a customer?

I am a customer that has bought MicroDose Mammography, how am I affected by this and who will be my contact in the future?

Sectra will honor all service commitments and will secure access to professional service and support for all MicroDose customers directly, through Philips or through current distribution partners. Over the months after closing all affected customers will be contacted and a solution proposed. Sectra will continue to support its mammography PACS solutions in the future.

We are convinced that MicroDose customers will benefit from the service and support resources and knowledge that Philips, as one of the largest healthcare modality providers in the world, can add to the further development of the MicroDose modality offering.

What value can Philips add for me as a customer?

Philips is one of the largest modality vendors in the world. Like Sectra, Philips has long experience and is a highly regarded vendor in medical imaging. The MicroDose Mammography modality is valuable to Philips’ offering within women’s health and you will benefit from the resources and knowledge Philips can add to the further development of the MicroDose offering.

Sectra has supplied a turnkey solution including both MicroDose and mammography IT solutions, such as PACS and RIS, for my mammography department. How am I affected by this deal?

Sectra will continue to develop, sell and support Sectra mammography IT solutions, such as mammography PACS, screening RIS and Sectra’s service for osteoporosis assessment. In fact, we will even increase our efforts in these areas. All customers will have access to professional service and support by Sectra, Philips or its current distribution partner.

If my MicroDose mammography equipment fails today, who should I call?

You should contact your regular service contact as usual. Nothing will change in the near future and you will be involved and informed of any changes in due course.

How can I get access to service, support and spare parts for my MicroDose units in the future?

You will be taken care of.All customers will have access to professional service and support from Philips, Sectra or a current distribution partner. Initially from Sectra then gradually more and more from Philips.

Note that in Australia and New Zealand, Sectra will continue to sell and service MicroDose under a distribution agreement with Philips. In many of the markets the same people will continue to sell and service the systems, but now with the Philips brand on the device.
